International Wire Announces Results for the Second Quarter and the First Six Months of 2017

International Wire Group Holdings, Inc. (the “Company”) (OTC Pink: ITWG) today announced results for the second quarter and for the six months ended June 30, 2017. Second quarter 2017 operating income was higher than in the second quarter of 2016, however operating income was lower for the six months ended June 30, 2017 compared to the six months ended June 30, 2016.

“Second quarter and first six months results reflect uneven demand in our largest markets served. Demand in the electronics and data communications market continued to be strong throughout the quarter and share gain provided further strength. Strong medical products demand was also experienced in the quarter. Demand in our largest market, industrial and energy, was stable during the quarter, while volumes in the automotive segment were further effected by the surplus capacity that exists for the Mexican automotive market,” said Edwin J. Second Quarter Results

Net sales for the quarter ended June 30, 2017 were $132.2 million, a decrease of $4.9 million, or 3.6%, compared to $137.1 million for the same period in 2016. This decrease was partly due to a higher proportion of tolled copper, partially offset by a higher selling price of copper. Tolled copper is customer-owned copper. The value of tolled copper is not included in net sales and costs of sales. Excluding the effects of a higher proportion of tolled copper and higher copper prices, net sales decreased $5.6 million, or 4.1%, versus the same period in 2016. This decrease resulted from $7.3 million of lower sales and $0.3 million from the effects of unfavorable foreign currency exchange rates, partially offset by $2.0 million of higher customer pricing/mix. Total pounds of product sold in the second quarter of 2017 decreased by 4.1% compared to the second quarter of 2016.

Operating income for the three months ended June 30, 2017 was $8.2 million compared to $7.1 million for the 2016 period, an increase of $1.1 million, or 15.5%, primarily from higher LIFO/copper profits, more favorable customer pricing/mix, lower selling, general and administrative expenses and lower depreciation expense, partially offset by lower sales volume, lower silver profits and unfavorable plant utilization.

Net income of $0.2 million for the three months ended June 30, 2017 decreased by $0.2 million from net income of $0.4 million for the three months ended June 30, 2016. The decrease was due primarily to higher interest expense, partially offset by higher operating income.

Net income per basic and diluted share of $0.03 for the three months ended June 30, 2017 decreased by $0.05 from the 2016 period net income of $0.08 per basic and diluted share.

Six Months Results

Net sales for the six months ended June 30, 2017 were $268.4 million, a decrease of $8.3 million, or 3.0%, compared to 2016 period sales of $276.7 million. This decrease was partly due to a higher proportion of tolled copper, partially offset by a higher selling price of copper. Tolled copper is customer-owned copper. The value of tolled copper is not included in net sales and costs of sales. Excluding the effects of a higher proportion of tolled copper and higher copper prices, net sales decreased $14.9 million, or 5.3%, versus the prior year. This decrease resulted from $19.2 million of lower sales and $0.7 million from the effects of unfavorable foreign currency exchange rates, partially offset by $5.0 million of higher customer pricing/mix. Total pounds of product sold in the first six months of 2017 decreased by 7.8% compared to the first six months of 2016.

Operating income for the six months ended June 30, 2017 was $15.1 million compared to $16.7 million for the same period in 2016, a decrease of $1.6 million, or 9.6%, primarily from lower sales volume, lower silver profits and less favorable plant utilization, partially offset by higher LIFO/copper profits and lower selling, general and administrative expenses.

Net loss of $0.3 million was lower than net income of $2.4 million in the 2016 period, primarily from lower operating income and higher interest expense partially offset by a lower income tax provision.

Net loss per basic and diluted share of $0.06 for the six months ended June 30, 2017 decreased by $0.58 from the 2016 period net income of $0.52 per basic and diluted share.

Non-GAAP Results and Net Debt

In an effort to better assist investors and noteholders in understanding the Company’s financial results, as part of this release, the Company is also providing Adjusted EBITDA, which is a measure not defined under accounting principles generally accepted in the United States (GAAP). Adjusted EBITDA is net (loss)/income excluding interest expense, income tax (benefit)/provision, depreciation and amortization expense, amortization of deferred financing costs, stock-based compensation expense, impairment charges, gain/loss on sale of property, plant and equipment, loss on early extinguishment of debt and extraordinary non-recurring gains and losses. Management uses Adjusted EBITDA as a measure in evaluating the performance of our business. Other companies may define Adjusted EBITDA differently. As a result, our measures of Adjusted EBITDA may not be directly comparable to measures used by other companies. Below is a reconciliation of this non-GAAP financial measure to Net (loss)/income, the most directly comparable financial measure calculated and presented in accordance with GAAP.
