Linde plc’s Exchange Offer Acceptance Ratio Exceeds 50%

Linde plc today announced that more than 50% of all outstanding shares have been tendered in the company’s exchange offer for Linde AG shares, published on August 15, 2017. As of October 20, 2017, 2:00 pm (CET), 94,320,380 Linde AG shares have been tendered into the exchange offer, which corresponds to approximately 50.81% of the share capital and voting rights of Linde AG.

This exceeds the 50% threshold set by the index guidelines of Deutsche Börse AG for the replacement of Linde AG shares currently included in the DAX by the class of shares for which the exchange offer has been accepted (“tendered share class” trading under ISIN DE000A2E4L75). Accordingly, it is expected that the Linde AG share class will be replaced with the tendered share class in the DAX in due course.

A 75% minimum acceptance ratio in Linde plc’s exchange offer must be satisfied as a closing condition for the completion of the business combination of Linde AG and Praxair, Inc. The acceptance period for Linde plc’s exchange offer will expire on October 24, 2017 at 24:00 hours (midnight) (CET), unless extended. The business combination is expected to be completed in the second half of 2018.
