Charter Offers Senior Secured Notes

STAMFORD, Conn., June 27, 2017 /PRNewswire/ -- Charter Communications, Inc. (NASDAQ: CHTR) (along with its subsidiaries, "Charter") today announced that its subsidiaries, Charter Communications Operating, LLC and Charter Communications Operating Capital Corp. (collectively, the "Issuers"), intend to offer the following securities:

    --  Senior secured notes due February 2028 (the "2028 Notes").
    --  Senior secured notes due 2047 (the "Follow-on Notes," and together with
        the 2028 Notes, the "Notes"). The Follow-on Notes will form a part of
        the same series as the 5.375% Senior Secured Notes issued on April 20,
        2017 in the aggregate principal amount of $1.25 billion.

Charter intends to use the net proceeds from the sale of the Notes to pay related fees and expenses and for general corporate purposes, including potential buybacks of the Class A common stock of Charter or common units of Charter Communications Holdings, LLC.

The Notes will be sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable state securities laws.
