Soligenix Announces Pricing of $5,115,000 Concurrent Registered Direct Offering and Private Placement of Common Stock Priced Above Market

PRINCETON, N.J., Oct. 31, 2017 /PRNewswire/ -- Soligenix, Inc. (Nasdaq: SNGX) (Soligenix or the Company), a late-stage biopharmaceutical company focused on developing and commercializing products to treat rare diseases where there is an unmet medical need, announced that it has entered into definitive agreements with investors for the purchase and sale of 1,575,500 shares of common stock at a price of $2.00 per share in a registered direct offering and 982,000 shares of common stock at a purchase price of $2.00 per share in a concurrent private placement. The gross proceeds of the offering will be approximately $5,115,000 before deducting placement agent discounts and other estimated offering expenses. The Company intends to use the net proceeds for working capital and other general corporate purposes. The closing of the registered direct offering and the concurrent private placement is expected to take place on or about November 2, 2017, subject to the satisfaction of customary closing conditions.

Lead investors in the financing include Knoll Capital Management, LP and ACT Capital Management, LLLP.
