Warrior Met Coal Announces Launch of Secondary Offering by Certain Selling Stockholders

Warrior Met Coal, Inc. (NYSE:HCC) (“Warrior” or the “Company”) today announced that certain of its existing stockholders (the “selling stockholders”) intend to offer 8,000,000 shares of the Company’s common stock in an underwritten secondary offering, of which the Company intends to repurchase from the underwriter 500,000 shares of common stock.

The selling stockholders will receive all of the net proceeds from the offering. The Company is not offering any shares of common stock in the offering and will not receive any proceeds from the sale of shares in the offering. The underwriter intends to offer the shares from time to time for sale in one or more transactions on the New York Stock Exchange, in the over-the-counter market, through negotiated transactions or otherwise at market prices prevailing at the time of sale, at prices related to prevailing market prices or at negotiated prices.

The Company’s per-share purchase price for the repurchased shares would be the same as the per-share purchase price payable by the underwriter to the selling stockholders. The Company expects to fund the stock repurchase with cash on hand. The stock repurchase would be made pursuant to, and would count toward, the Company’s recently announced stock repurchase program. The closing of the stock repurchase is contingent on the consummation of the offering. In addition, the closing of the offering is conditioned on the satisfaction or waiver of various conditions including, without limitation, the consummation of the stock repurchase.
