CONTRACT SPECIFICATIONS6.Description of the contract

The Contract will cover the construction of a new railway line consists of double track line with a maximum operational speed of 200 km/h complete with telecommunication, signaling and electrification systems between Çerkezköy and Kapıkule Section of Halkalı — Kapıkule Railway Line Project. The existing electrified single line will be realigned at the stations of Çerkezköy and Edirne in order to connect to the new line.

FIDIC Contract conditions for construction ('Red Book'), 1999 Edition will apply to the works contract but in accordance with Clause 4.1, works will also include contractor design works with fitness for purpose obligations (electrification, signalization, telecommunications, related ancillary buildings, missing designs, etc.). Missing designs mainly include 2 viaducts, 5 overpasses, 1 underpass, 6 culverts, 6 retaining walls and 1 Platform structure and Pedestrian overpass (Edirne Station).

The principal scope of the contract that includes but not limited with the following:

Construction of infrastructure (tunnels, viaducts, bridges, underpasses and overpasses, culverts, ancillary structures, etc.), superstructure (rails, sleepers, ballasts, turnouts, sidings, etc.), installation of signaling system with ETCS (European train control system) Level 1, telecommunication and electrification systems and the existing line dismantling when it is required.

TERMS OF PARTICIPATION8.Eligibility and rules of origin

Participation is open to all natural persons who are nationals of and legal persons (participating either individually or in a grouping — Consortium — of tenderers) which are effectively established in a Member State of the European Union or in a eligible country or territory as defined under the Regulation (EU) No 236/2014 establishing common rules and procedures for the implementation of the Union's instruments for external action (CIR) for the applicable Instrument under which the contract is financed (see also heading 23 below). Participation is also open to international organisations. All supplies under this Contract must originate in one or more of these countries. However, they may originate from any country when the amount of the supplies to be purchased is below 100 000 EUR per purchased.

9.Grounds for exclusion

Tenderers must submit a signed declaration, included in the Tender Form for a Works contract, to the effect that they are not in any of the situations listed in point 2.3.3 of the Practical guide.

10.Number of tenders

Tenderers may submit only one tender per lot. Tenders for parts of a lot will not be considered. Any tenderer may state in its tender that it would offer a discount in the event that its tender is accepted for more than one lot. Tenderers may not submit a tender for a variant solution in addition to their tender for the works required in the tender dossier.

11.Tender guarantee

Tenderers must provide a tender guarantee of 10 000 000 EUR when submitting their tender. This guarantee will be released to unsuccessful tenderers once the tender procedure has been completed and to the successful tenderer[s] upon signature of the contract by all parties.

12.Performance guarantee

The successful tenderer will be asked to provide a performance guarantee of 10 % of the amount of the Contract at the signing of the Contract. This guarantee must be provided together with the return of the countersigned contract no later than 30 days after the tenderer receives the contract signed by the Contracting Authority. If the selected tenderer fails to provide such a guarantee within this period, the contract will be void and a new contract may be drawn up and sent to the tenderer which has submitted the next cheapest compliant tender.

13.Information meeting and/or site visit

A mandatory information meeting and/or site visit with the duration of 2 days will be organised starting on 9.8.2018 at 10:00 starting from Kapıkule Train Station and including the project Works site. The details of the site visit will be published on the web-sites of the EuropeAid and the Contracting Authority (op.udhb.gov.tr) within a reasonable time period before the site visit. 14.Tender validity

Tenders must remain valid for a period of 90 days after the deadline for submission of tenders. In exceptional circumstances, the Contracting Authority may, before the validity period expires, request that tenderers extend the validity of tenders for a specific period.

15.Period of implementation of tasks

1460 days from contract signature until the provisional acceptance.

Defects Notification Period is 365 days starting from the provisional acceptance

SELECTION AND AWARD CRITERIA16.Selection criteria

In order to be eligible for the award of the contract, tenderers must provide evidence that they meet the selection criteria.

The selection criteria for each tenderer are as follows:

General

16.1. The Tenderer must be a registered firm or natural person capable of carrying out the specified Works;

Economic and financial capacity of candidate:

The joint venture/consortium as a whole must satisfy the minimum qualifications required below:

16.2. Annual Turnover:

The average annual turnover of the tenderer in the last 3 financial years must be minimum EUR 300,000,000 (three hundred million euros) or equivalent amount in other currencies.

16.3. Financial Resources:

The Tenderer shall demonstrate, by a bank statement from his bank, that he has available or has access to liquid assets, lines of credit, or other financial means sufficient to meet the construction cash flow for the contract of not less than 150 000 000 EUR or equivalent amount in other currencies. The evidence shall clearly demonstrate that the financing is available for the concerned contract.

Technical and professional capacity of candidate:

16.4. At least 60 staff currently work for the candidate in fields related to this contract.

16.5. The Tenderer must have successfully completed all of the below contracts with only Performance (Final acceptance) Certificate during the following period: 10 years from the submission deadline, 25.9.2008 – 25.9.2018. Previous experience of the tenderer must be proved by original or notary certified copies of performance (final acceptance) certificates, signed by the supervisors (the Engineer)/Contracting Authority of the contracts concerned. The abovementioned certificates shall clearly indicate the completion date.

Compliance with the each of the following requirements (1 to 5) shall be demonstrated within the context of one contract; however, one contract may fulfil more than one of the requirements:

1) 1 work contract including new construction of minimum 75 km length of motorway (minimum double ways) / highway (minimum double ways) / railway line infrastructure. Metro lines/light rail systems such as tramway shall not be accepted. In the calculation of the length, the number of tracks/lanes shall not be multiplied by the distance from start to end point;

2) 1 work contract including rehabilitation or new construction of minimum 150 km length of railway line superstructure with the minimum design speed of 160 km/h. Metro lines/light rail systems such as tramway shall not be accepted. For the purpose of this requirement, the expression ‘railway line superstructure’ is defined as: rails (including turn-outs) and sleepers and ballast. In the calculation of the length, the number of tracks shall be multiplied by the distance from start to end point;

3) 1 work contract including design and installation of minimum 75 km length of signalization system of railway line (rehabilitation or new construction) with ERTMS/ETCS (European train control system) level 1 or level 2. Upgrading of ERTMS/ETCS Level 1 to Level 2 shall not be accepted. In the calculation of the length, the number of tracks shall not be multiplied by the distance from start to end point.

4) 1 works contract including design and installation of minimum 75 km length of electrification system of railway line (rehabilitation or new construction). In the calculation of the length, the number of tracks shall not be multiplied by the distance from start to end point.

5) 1 works contract including rehabilitation or new construction of a railway line with a minimum contract value of 275 000 000 EUR (proportion carried out by the candidate). The contract shall include at least three out of the following: infrastructure / superstructure / signalization / electrification. Metro lines/light rail systems such as tramway and also upgrading of signalization system from ERTMS/ETCS Level 1 to Level 2 shall not be accepted.

If the similar past experience of a tenderer has been completed in a joint venture or consortium, the past similar experience in joint venture / consortium shall be completed by the specific tenderer. Should the submitted documents not provide clear information on the works performed by the specific Tenderer, further documents shall be provided in order to clarify the fulfilment of the requirement.

The Contracting Authority reserves the right to ask for originals of the relevant certificates signed by the supervisors (the Engineer)/Contracting Authority of the concerned contracts.

Regarding the calculation of the contract amounts for 16.5 (5), the Euro equivalent of the contract amounts at the date of the Final Acceptance will be considered. For purposes of converting another currency to Euro, the Conversion rates, published in the Official Journal of European Communities shall be used which can be found at:

The Contracting Authority reserves the right to carry out any further inquiry on the tenderer’s document as the Evaluation committee may deem appropriate.

A Joint Venture/Consortium shall meet the following particular qualification criteria:

a) The leading member shall meet not less than 50 % of the turnover criterion, financial resources criterion specified above in items 16.2 and 16.3;

b) Each member shall meet not less than 25 % of the turnover criteria and financial resources criteria specified above in items 16.2 and 16.3;

c) Each individual member must be a registered firm or natural person legally capable of carrying out the specified Works.

d) The Joint Venture/consortium must satisfy collectively the previous works experience, turnover and financial resources criteria stated above in items 16.2, 16.3 and 16.5.

Tenders submitted by companies in partnerships forming a joint venture/consortium must also fulfil the following requirements:

a) The tender must include all the information required for each member of the joint venture/consortium and summary data for execution of works by the tenderer.

b) The tender must be signed in a way that legally binds all members. One member must be appointed lead member and that appointment confirmed by submission of powers of attorney signed by legally empowered signatories representing all members.

c) All members of the joint venture/consortium are bound to remain in the joint venture/consortium for the whole execution period of the contract. See the declaration in the tender form.

Capacity-providing entities:

An economic operator may, where appropriate and for a particular contract, rely on the capacity of other entities, regardless of the legal nature of the links which it has with them. Some examples of when it may not be considered appropriate by the Contracting Authority are when the tenderer relies mostly on the capacity of other entities or when it relies on key criteria. If the tenderer relies on other entities, it must prove to the Contracting Authority that it will have at its disposal the resources necessary to perform the contract, for example by producing a commitment on the part of those entities to place resources at its disposal. Such entities, for instance the parent company of the economic operator, must respect the same rules of eligibility and notably that of nationality, as the economic operator. Furthermore, the tender should include a separate document providing data on this third entity for the relevant selection criterion. Proof of capacity must be furnished at the request of the Contracting Authority.

With regard to technical and professional criteria, a tenderer may only rely on the capacities of other entities where the latter will perform the works for which these capacities are required.

With regard to economic and financial criteria, the entities upon whose capacity the tenderer relies, become jointly and severally liable for the performance of the contract.

The most economically advantageous tender is the technically compliant tender with the lowest price.

24.Additional information

— Signature of this contract is subject to the signature of the Project bilateral agreement by the European commission, assurance of the provision of co-financing by Republic of Turkey and finalization of the land acquisition in order to carry out the works.

Line section in project area, covers 57 villages and 4 100 parcels which will be expropriated from starting point to the end point. Public interest decision has been taken and TCDD has started the expropriation process with a view to finalize before the contract signature. The Contracting Authority may provide access to site under the terms and conditions of the contract as much as the land is available at the time of the signature of the Contract.
