GMS Announces Pricing of Secondary Public Offering of Common Stock

GMS Inc. (NYSE:GMS) (the “Company”), a leading North American specialty distributor of interior building products, announced today the pricing of an underwritten secondary public offering of 6,825,058 shares of common stock by an affiliate of AEA Investors LP (the “Selling Stockholder”), at a price to the public of $27.20 per share. The offering is expected to close on September 9, 2019, subject to the satisfaction of customary closing conditions.

The Company is not selling any shares in this offering and will not receive any proceeds from the sale of shares being sold by the Selling Stockholder in this offering.

Goldman Sachs & Co. LLC is acting as sole underwriter for the offering.
